I am currently advising companies that are raising capital from investors. I bring judgment honed over a long career to help them to efficiently navigate the process. I have helped to prepare more than 150 public and private securities offerings across various industries.
I continue to provide assistance and expert testimony to litigators in disputes over failed investments. I have testified as an expert in many matters about a great many different investments and strategies. If I have a particular skill, it is being able to simplify and explain complex financial transactions to judges, juries and arbitrators. I am also a very skilled second chair. Interesting or complex matters are always welcome.
I have looked under the hood of thousands of investments, investment transactions and investment strategies. I help professional investors and professional intermediaries seeking advice or due diligence on potential investments.
If you know me, you know that I do not fit the mold of the average attorney. I have always had an academic side.I taught at a well-respected business school. I write about topics relevant to issuers, investors and the capital markets themselves.
